General Terms and Conditions (AGB) of:

Strategy Capital Partners FZCO

1. Scope
These General Terms and Conditions (AGB) apply to all contracts concluded between Strategy Capital Partners FZCO (hereinafter "SCP") and its customers (hereinafter "Customer").

2. Conclusion of Contract
The contract between SCP and the customer is concluded by the customer's acceptance of SCP's offer. The offer can be made in writing, orally, or by email.

3. Services of SCP
SCP offers its customers various services, including but not limited to:
Business consulting
Marketing consulting
Marketing activities
Sales support

These services are agreed upon in each individual case between SCP and the customer.

4. Prices and Payment Conditions
The prices for SCP's services are agreed upon in each individual case between SCP and the customer. The prices are exclusive of the statutory value-added tax. The customer is obligated to pay the prices within 14 days of invoicing.

5. Right of Withdrawal
According to § 356 paragraph 4 BGB, the right of withdrawal for a contract for the provision of services expires when the entrepreneur has completely provided the service and has only begun to execute the service with the express consent of the consumer.

6. Liability
SCP is only liable for damages caused to the customer intentionally or through gross negligence. SCP is only liable for slight negligence if the damages were caused by the violation of an essential contractual obligation. SCP's liability is in any case limited to the typical contractual damage.

7. Final Provisions
Should individual provisions of these AGB be or become ineffective, this shall not affect the validity of the remaining provisions. In place of the ineffective provision, a provision shall come into effect that comes closest to the purpose of the ineffective provision. The place of jurisdiction for all disputes arising from or in connection with these AGB is Traunstein, Germany.
